Limited Liability Company Registration Procedure

Foreigners who are not citizens of the European Union and do not have residency in Slovenia, as well as foreign legal entities, have the option to establish a Limited Liability Company in Slovenia. To do so, the founders must ensure a minimum basic capital of 7,500 euros.

Required Documentation for Registering a Limited Liability Company:

– Passport (all founders/representatives)
– Certified statement from the property owner allowing the registration of the business address. We offer you the option of using our business address.
– Slovenian tax number (all founders and foreign representatives). With our assistance, you can obtain a tax number based on authorization.
– Certificate from the competent authority in the home country, confirming that the founder has no outstanding tax obligations.
– Certificate of no criminal record from the home country (all founders).
– Certificate stating that the founder has no offenses related to illegal employment (all founders).

For foreign legal entity founders: an excerpt from the commercial register of companies for the foreign parent company.
Based on the provided documentation and information regarding the company name, main activity, and other activities, the articles of association or company agreement are prepared. This documentation is then submitted to the chosen bank, where a temporary business account is opened for the foreign founder. The minimum required capital of 7,500 euros is deposited into this account. The bank issues a confirmation of payment, which is necessary to complete the registration process of the Limited Liability Company.

Once the court confirms the establishment of the limited liability company, the temporary bank account must be converted into a business account. The company can then begin operations, submit applications for VAT registration, work and residence permits, employment, and other activities.
